Kazawallet Card Terms Agreement

Binding Agreement and Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User" or "You") and both Kasroad FZ-LLC (United Arab Emirates) and KASROAD LTD UK (Company No. 16721888) (collectively referred to as "Kazawallet," "we," "our," or "us"). These Terms govern your access to and use of the Kazawallet Card Service.

By applying for, activating, or using the Kazawallet Card, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations.

If you do not agree to these Terms, you must not use the Kazawallet Card Service.

1. Definitions

1.1 "Agreement" means this Kazawallet Card Program Account Agreement, as may be amended from time to time.

1.2 "Apple Pay" means the payment and digital wallet service provided by Apple Inc. that enables payments using certain Apple devices.

1.3 "Google Pay" means the payment and digital wallet service provided by Google LLC that enables payments using compatible devices.

1.4 "Card Account" means the account maintained by Kazawallet in your name and linked to your Card for processing transactions.

1.5 "Cardholder" means the individual or entity in whose name the Card Account is opened and to whom a Kazawallet Card is issued.

1.6 "Kazawallet Card" means any physical or virtual payment card issued by Kazawallet that bears a payment network logo (such as Visa or Mastercard), including any renewal or replacement card.

1.7 "Transaction" means any purchase, withdrawal, transfer, payment, refund, or other operation conducted using your Kazawallet Card.

1.8 "Business Day" means any day, other than Saturday, Sunday, or public holidays, when banks in the United Arab Emirates are open for business.

2. Operating Entity and Third-Party Services

2.1 Disclosure of the Card Operating Entity

The Card is operated in collaboration with UP(SG) GLOBAL PTE. LTD., a duly licensed and regulated company under the laws of Singapore.

2.2 Nature of Service and Provider Disclosure

Kazawallet is a digital financial platform and not a banking institution.

All card issuance and financial services are provided exclusively by duly licensed and regulated third-party partners. These services are subject to the terms and conditions of our licensed partners.

3. Eligibility and Account Requirements

3.1 Eligibility Criteria

To be eligible for a Kazawallet Card, you must:

  • Be at least 18 years of age.
  • Hold an active Kazawallet account.
  • Provide accurate and complete personal information.
  • Successfully complete our Know Your Customer (KYC) verification process.

3.2 Identity Verification (KYC/AML)

You agree to provide all documents required for Know Your Customer (KYC) and Anti-Money Laundering (AML) processes, including but not limited to government-issued identification and proof of address.

Kazawallet reserves the right to refuse or suspend your account if the required documents are not provided or if verification is not successfully completed.

4. Card Services and Features

The Card may be issued as a Visa or Mastercard, in virtual or physical form, enabling you to:

  • Make online purchases or point-of-sale transactions with merchants worldwide.
  • Add the Card to Apple Pay or Google Pay to make payments via compatible devices, subject to each service's own terms and applicable local laws and payment network policies.

(This feature may not be available in all countries or for all card types.)

5. Card Issuance, Top-Up, and Use

5.1 Card Issuance

A one-time issuance fee applies as detailed in the Fee Schedule.

Only one card is permitted per user.

5.2 Supported Top-Up Currencies

The Card may be loaded using the following currencies only: USD – USDC – USDT.

Kazawallet may, at its sole discretion, modify this list or add additional stablecoins in the future, in compliance with applicable laws and the policies of authorized financial service providers.

5.3 Usage Restrictions

The Card must not be used for any illegal activity or for transactions involving prohibited goods or services.

Transaction limits and restrictions may be applied or modified from time to time.

5.4 Use Without Sufficient Balance

The Card must not be used to initiate any payments or transactions if there are insufficient funds in the Card balance.

Repeated attempts to use the Card without adequate funds may result in the immediate suspension or closure of the Card without prior notice, and Kazawallet reserves the right to take any administrative or legal action it deems appropriate.

6. Fees and Charges

6.1 Fee Schedule Reference

All applicable fees and charges related to the Kazawallet Card, including but not limited to issuance, top-up, and foreign exchange fees, are specified in the separate Fee Schedule published on our platform and/or website.

6.2 Amendment of Fees

We reserve the right to modify our fee structure with reasonable prior notice before such changes take effect, via in-app notification and/or email.

In the event of significant external changes (such as modifications to partner payment fees or exchange rates), we may implement adjustments immediately while notifying users as soon as practicable.

Your continued use of the Card after the effective date of such changes constitutes implied acceptance of the amendments.

7. Security and Account Responsibility

7.1 User Security Obligations

You are responsible for creating a strong password and maintaining adequate security and control of your credentials and two-factor authentication (2FA). You agree to:

  • Keep your PIN and card details confidential.
  • Not share your card or account information with third parties.
  • Promptly report any suspected unauthorized use.

7.2 Full Account Responsibility

You are fully responsible for all actions and transactions conducted under your account, including payment of all applicable fees and any losses resulting from compromised credentials or personal information.

8. Account Statements and Transaction Records

8.1 All transaction records and account statements related to your Card are available directly within your Kazawallet account dashboard, accessible at any time.

No statements are sent via email or other means unless expressly agreed otherwise.

8.2 You must regularly review your records and promptly report any unauthorized or disputed transactions within the timeframe specified in our Dispute Resolution Policy.

9. Intellectual Property

9.1 Ownership

All software, the platform, the Card service, and any enhancements or derivative works thereof are our exclusive property.

9.2 Prohibited Use

You may not copy, decompile, reverse engineer, disassemble, derive source code from, modify, or create derivative works based on the software or any part of the content.

10. Dispute Resolution and Chargebacks

10.1 You may request an investigation into any unauthorized or incorrect transaction through the Kazawallet Dispute Department, in accordance with our dispute resolution procedures.

10.2 Chargeback rights are governed by the rules of the applicable payment network (Visa or Mastercard).

11. Suspension, Termination, and Liability

11.1 Suspension and Blocking

We reserve the right to suspend or restrict access to your Card or account immediately and without prior notice if:

  • We suspect fraudulent, unauthorized, or illegal activity.
  • Such action is required by law or a regulatory authority.
  • You breach any provision of these Terms.

We may also refuse to open an account for you or terminate any of your existing accounts at our sole discretion.

11.2 Liability for Unauthorized Transactions

You must notify our support team of any unauthorized or disputed transaction within the specified timeframe.

Your liability shall be determined in accordance with applicable law and based on whether negligence or fraud is established.

11.3 Limitation of Liability

To the maximum extent permitted by law, Kazawallet shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use.

Our total aggregate liability shall not exceed the total fees paid by you for the Card Service during the twelve (12) months preceding the event giving rise to the claim.

Nothing in this limitation shall exclude or restrict any liability that cannot be limited or excluded under applicable law.

12. Data Protection and Privacy

12.1 We collect, use, and disclose personal data in accordance with our Privacy Policy available on our website.

12.2 We may share your data with payment networks, regulators, service providers, or law enforcement authorities as permitted by law.

13. Amendments

13.1 We may amend this Agreement by providing you with reasonable prior notice.

13.2 Your continued use of the Kazawallet Card after the effective date of any amendment constitutes your acceptance of the revised Agreement.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates for users residing outside the United Kingdom, and the laws of England and Wales for users residing within the United Kingdom, without regard to conflict-of-law principles.

14.2 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or collective proceedings.
